Terms of Service

The legal agreement governing your use of our healthcare coordination platform — including subscription terms, scope of services, limitations, and responsibilities.

1. Acceptance of Terms

By accessing or using the website, platform, and healthcare coordination services (collectively, the "Services") provided by American Healthcare Coordination, LLC ("AHC," "we," "our," or "us"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use our Services.

These Terms constitute a legally binding agreement between you (the "User," "you," or "your") and AHC. You represent that you are at least 18 years of age and have the legal capacity to enter into this agreement.

We may update these Terms from time to time. When we make material changes, we will notify you through the platform, by email, or by posting a notice on our website. Your continued use of the Services after any changes constitutes acceptance of the updated Terms.

2. Description of Services

American Healthcare Coordination provides healthcare coordination services, which include administrative support for managing medical appointments, insurance navigation, family communication, legal document tracking, home safety coordination, and condition-specific care programs. Our Services are delivered by dedicated human coordinators supported by a secure technology platform.

Scope of Services

Our coordinators provide administrative and logistical support. They organize, track, communicate, and advocate — but they do not provide clinical services.

Services we DO NOT provide:

  • Medical advice, diagnosis, or treatment
  • Legal or financial advice
  • Hands-on personal or nursing care
  • Guardianship or decision-making authority
  • Emergency medical services

You acknowledge that our coordinators are not licensed healthcare professionals acting in a clinical capacity. Clinical decisions remain the responsibility of you, your family, and your licensed healthcare providers. If you are experiencing a medical emergency, call 911 immediately.

3. User Accounts & Responsibilities

To access certain features of our Services, you must create an account. You agree to:

  • Provide accurate, current, and complete information during registration
  • Maintain and update your account information to keep it accurate and current
  • Protect the confidentiality of your login credentials
  • Notify us immediately of any unauthorized use of your account
  • Be responsible for all activities that occur under your account

You are responsible for designating which family members may access your account and at what permission level. You acknowledge that you — not AHC — are responsible for managing these access permissions.

We reserve the right to suspend or terminate accounts that violate these Terms, provide false information, or engage in any activity that may harm our Services, reputation, or other users.

4. Subscription, Billing & Payment

Our Services are offered on a subscription basis. By subscribing, you agree to the following:

  • Subscription Plans: Plan features, pricing, and inclusions are as described on our Pricing page at the time of your subscription.
  • Billing: Subscription fees are billed monthly in advance on the anniversary of your sign-up date. You authorize us to charge your payment method on a recurring basis until you cancel.
  • Cancellation: You may cancel your subscription at any time through your account settings or by contacting us. Cancellation takes effect at the end of your current billing cycle. We do not provide refunds for partial months, except as required by applicable law.
  • Plan Changes: You may upgrade or downgrade your plan at any time. Upgrades take effect immediately with a prorated charge for the remainder of the billing cycle. Downgrades take effect at the start of your next billing cycle.
  • Price Changes: We reserve the right to change our pricing. We will provide at least 30 days' notice before any price change takes effect. Your continued use after a price change constitutes acceptance of the new pricing.
  • Payment Failures: If a payment fails, we will notify you and provide a grace period to update your payment method. We reserve the right to suspend Services if payment is not resolved within the grace period.

5. Intellectual Property

All content, features, and functionality of our Services — including but not limited to text, graphics, logos, icons, software, platform design, and documentation — are the exclusive property of American Healthcare Coordination, LLC and are protected by copyright, trademark, and other intellectual property laws.

You may not reproduce, distribute, modify, create derivative works of, publicly display, or otherwise exploit any content from our Services without our express written permission, except as necessary to use the Services for their intended purpose.

You retain ownership of any information, data, or content you provide to us in connection with your use of the Services, subject to the license necessary for us to provide the Services to you.

6. Confidentiality & Data Use

We will handle all information you provide — including Protected Health Information — in accordance with our Privacy Policy and applicable laws, including HIPAA. By using our Services, you acknowledge that you have read and understood our Privacy Policy.

You agree not to share, post, or transmit through our platform any content that:

  • Violates any applicable law or regulation
  • Infringes on the intellectual property or privacy rights of others
  • Contains malware, viruses, or harmful code
  • Is fraudulent, deceptive, or misleading
  • Is harassing, abusive, or threatening

7. Limitation of Liability

To the maximum extent permitted by applicable law:

  • AHC and its officers, directors, employees, coordinators, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or goodwill, arising from your use of or inability to use our Services.
  • AHC's total liability for any claim arising from or relating to these Terms or our Services shall not exceed the total amount paid by you to AHC during the twelve (12) months preceding the event giving rise to the claim.
  • AHC is not liable for the acts or omissions of third-party healthcare providers, insurers, home care agencies, or other third parties we may interact with on your behalf.
  • AHC does not guarantee specific outcomes, results, or improvements in health status. Our role is coordination and advocacy, not clinical care.

Some jurisdictions do not allow the exclusion or limitation of certain damages. In those jurisdictions, our liability is limited to the maximum extent permitted by law.

8. Disclaimer of Warranties

Our Services are provided on an "AS IS" and "AS AVAILABLE" basis, without warranties of any kind, either express or implied. To the fullest extent permitted by law, AHC disclaims all warranties, including but not limited to:

  • Implied warranties of merchantability, fitness for a particular purpose, and non-infringement
  • Warranties that our Services will be uninterrupted, error-free, secure, or available at all times
  • Warranties regarding the accuracy, completeness, or reliability of any information obtained through our Services

We do not warrant that our coordinators will identify every issue, prevent every adverse event, or achieve every desired outcome. Healthcare is complex, and our coordination Services are designed to support — not replace — your judgment and the judgment of licensed healthcare professionals.

9. Indemnification

You agree to indemnify, defend, and hold harmless AHC and its officers, directors, employees, coordinators, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising from:

  • Your use of our Services
  • Your violation of these Terms
  • Your violation of any third-party rights, including intellectual property or privacy rights
  • Decisions you make based on information provided through our Services

10. Termination

You may terminate your account and subscription at any time by contacting us or through your account settings.

We may terminate or suspend your account immediately, without prior notice, if:

  • You violate these Terms
  • You engage in fraudulent, abusive, or illegal conduct
  • You fail to pay subscription fees when due
  • We determine, in our sole discretion, that continuation of Services is not appropriate

Upon termination, your right to access and use the Services will immediately cease. We will provide you with a reasonable opportunity to export your data before account closure, subject to our data retention policies. Provisions of these Terms that by their nature should survive termination (including limitation of liability, disclaimer of warranties, and indemnification) shall survive.

11. Dispute Resolution

Informal Resolution

We want to resolve disputes fairly and efficiently. Before initiating any formal legal action, you agree to contact us first and attempt to resolve the dispute informally. We will do the same.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Ohio, without regard to its conflict of law principles.

Dispute Resolution

Any dispute that cannot be resolved informally shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, unless you opt out of arbitration within 30 days of first accepting these Terms. Arbitration shall take place in Columbus, Ohio.

12. Miscellaneous

  • Entire Agreement: These Terms, together with our Privacy Policy and any applicable Service Level Agreement, constitute the entire agreement between you and AHC regarding our Services.
  • Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions shall remain in full force and effect.
  • Waiver: Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.
  • Assignment: You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction.
  • Force Majeure: We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including natural disasters, acts of government, pandemics, internet or telecommunications failures, or other force majeure events.
